Studio One Media, Inc. ("Studio One") is a diversified media and technology company
based in Scottsdale, Arizona. Studio One subsidiaries and divisions include MyStudio,
Inc., MyStudio Audio Labs, Inc., MyStudio Recording Studios, MyStudio Music, MyStudio Management and MyStudio
Mastering.
Over the last six years, Studio One and its wholly-owned subsidiary, MyStudio, Inc.,
have been engaged in the research and development of proprietary, leading-edge audio
and video technologies for professional and consumer use. Studio One introduced
its first groundbreaking product on September 29, 2008, with the installation of
its first MyStudio interactive audio and video recording studio.
Studio One's MyStudio business model and website featuring user generated content
(“UGC”) are highly differentiated from leading companies in the entertainment and
internet industries. MyStudio offers a unique "bricks and clicks" combination of
cash-generating studios and Internet-based advertising revenues. Currently, all
major video sharing and social networking websites receive little or no revenue
from the creation of the UGC hosted on their websites, forcing them to rely almost
exclusively on revenue from website advertisers. The MyStudio business model uniquely
provides for revenues generated from both the creation of the UGC by MyStudio customers
and advertising. MyStudio advertising revenue is derived from both traditional website
advertising and on-studio video monitor advertising.
In addition, the Company expects additional revenue to be generated from music sales
and talent management arising from UGC on the MyStudio.net website. Subject to the
availability and timing of capital, Studio One expects to install and operate a
multitude of MyStudios both nationally and internationally.
MyStudio® HD Recording Studios
Studio One has developed MyStudio, a self contained, state-of-the-art, high definition
("HD") interactive audio/video recording studio designed for installation in shopping
malls and other high traffic areas. MyStudio offers groundbreaking video and sound
quality from a proprietary/patent-pending, stand-alone recording studio with an
ease and convenience never before available to the public. MyStudio and its accompanying
website,
MyStudio.net, incorporate into a single entertainment venue the best elements
of the world's leading internet and entertainment properties: the video sharing
convenience, the social networking appeal and the talent showcase of other well-known
websites and television programs.
MyStudio enables users, for a $20 fee, to record up to a five-minute personalized
video with professional-quality backdrop, lighting and sound. The studios feature
Hollywood-style green screen technology, and users can select from over a thousand
HD virtual backgrounds (static and dynamic) and thousands of exclusively licensed
karaoke tracks from EMI Music Publishing. The lighting is custom programmed for
each virtual background and the sound quality is derived from a specially engineered
acoustic design and a proprietary audio signal sequencing process.
Videos are available within minutes for viewing at MyStudio.net upon completion of the recording,
and users may order a complimentary CD or DVD at their option. Videos are protected with
a privacy pass-code, and the user can decide whether to make the video available
to the public. The
MyStudio.net website offers users the opportunity to share videos and create
member profile pages in a dynamic social networking environment. Users may also
create links between
MyStudio.net and other social networking sites. Users may also download
their videos to cell phones.
MyStudio can be used to create videos for music, modeling, comedy, dating, job resumes,
auditions, and personal messages and greetings. Users can also enter their videos
into monthly industry sponsored music, modeling and comedy contests.

Richard Blackstone
Mr. Blackstone is the former Chairman & CEO of Warner/Chappell Music, Inc., Warner
Music Group's award-winning global music publisher. The library includes many titles
that span multiple music genres and has demonstrated the ability to generate consistent
revenues over extended periods of time. Warner/Chappell's award winning library
includes the songs of Cole Porter and George and Ira Gershwin, as well as the music
of Dido, Dr. Dre, Eric Clapton, Green Day, Led Zeppelin, Madonna, Nickelback, Red
Hot Chili Peppers, Sheryl Crow, T.I. and others.
Prior to joining Warner/Chappell, he was the President of Zomba Music Publishing.
At Zomba, Mr. Blackstone worked with performers and songwriters such as R. Kelly,
Linkin Park, Justin Timberlake, *NSync, Macy Gray, Limp Bizkit, Korn, Keith Stegall,
The Backstreet Boys, Britney Spears, Nas, A Tribe Called Quest, KRS-One and numerous
others.
Ted Field
Mr. Field is the Chairman & CEO of Radar Pictures, Inc. Radar Pictures develops,
produces and finances feature-length motion pictures created for the global marketplace.
Working with top talent in the motion picture industry for more than 25 years, his
company is one of the most successful independent motion picture production companies
in the industry and has produced more than 60 major motion pictures generating nearly
$7 billion of revenues.
Mr. Field also co-founded Interscope Records in 1990. Initially developed as a label
focused on hip hop and urban music, the company expanded its musical range into
nearly all genres. Mr. Field was also the owner of Panavision, Inc., a leading designer
and manufacturer of high-precision camera systems used in the motion picture and
television industries.
Paul Fisher
Mr. Fisher has been an entrepreneur, business owner and agent in the modeling and
entertainment industries since 1982. A specialist in brand management, he has represented
dozens of internationally recognized models and celebrities including Naomi Campbell,
Stephanie Seymour, Carol Alt, Gabriella Reece, and Nicky Hilton. Mr. Fisher is also
well known for negotiating trend-setting media contracts. He founded a modeling
agency which billed in excess of $80 million in contracts with such companies as
Calvin Klein, Revlon, Victoria's Secret and Ralph Lauren.
Sheila Jaffe
Ms. Jaffe is an Emmy Award winning casting director and partner in Walken/Jaffe Casting,
one of the premier sources for identifying talent for television and motion pictures throughout
Hollywood. Her career as a casting director over the past two decades has included involvement
in over 120 productions. Her keen eye and understanding of casting needs has helped drive the
successes of The Sopranos, Entourage, and How to Make It in America. Her big screen resume includes
such features as The Italian Job, Invincible, and the soon to be released MacGruber, Secretariat and The Fighter.
Rodney “Darkchild” Jerkins
Mr. Jerkins is an eight time Grammy Award winning music producer/songwriter with
a nearly unmatched discography, which includes Lady Gaga, Beyonce, Madonna, Brandy,
Jennifer Lopez, Michael Jackson, Mary J. Blige, Whitney Houston, Toni Braxton, Keyshia
Cole, Britney Spears, Cher, Janet Jackson, Destiny’s Child, Gwen Stefani, The Pussycat
Dolls, N’Sync, Ludacris, Jamie Foxx, Black Eyed Peas, Ciara, The Spice Girls and
Vanessa Williams. Mr. Jerkins is considered to be one of the most influential producers
in the music industry.
He is the first music super producer to use MyStudio’s AfterMaster technology to
significantly enhance the audio quality and experience for his clients. His successful
production of Janet Jackson’s hit “Make Me” utilized AfterMaster and went
on to top Billboard’s Dance Club chart during 2009.
Allan Kaplan
Mr. Kaplan is a Director of Clearview Capital Partners. As a co-founder of three
successful Internet infrastructure companies, he has extensive experience building
and investing in companies focused on next-generation data communications and Internet
infrastructure, services and software.
Prior to co-founding Limelight Networks, Mr. Kaplan co-founded Entera, an innovative
content distribution company acquired by CacheFlow in December 2000. He was also
a founder of Primenet Services for the Internet, a nationwide ISP that merged with
web hosting leader GlobalCenter in 1998. He also served as Vice President of Operations
and member of the Board of Directors of Limelight Networks.
Andrew Knight
Mr. Knight is currently a Director of News Corporation, the $33 billion media conglomerate
headed by Rupert Murdoch. He was appointed Chairman of J. Rothschild Capital Management
Limited in September 2008. He served as a Director of Rothschild Investment Trust
Capital Partners plc from 1997 to 2008. Mr. Knight was the Executive Chairman of
News International plc from 1990 to 1994. He was also the Chief Executive of Daily
Telegraph plc from 1986 to 1989 and the Editor of The Economist from 1974 to 1986.
Paul Oreffice
Mr. Oreffice is the former Chairman, President & CEO of The Dow Chemical Company.
At the time of his retirement from Dow Chemical in 1992, the company had revenues
of over $19 billion and was ranked #20 in the Fortune 500.
Mr. Oreffice has served on the Boards of Directors of several major American institutions
including The Coca-Cola Company, Morgan Stanley, CIGNA Corporation and Nortel. Additionally,
he has been a Director of Spirit Finance Corporation and Chairman of the Board of
Fairfield Homes of Arizona. He recently served as Chairman of the Board of the National
Parkinson Foundation and remains a member of the Board.
Richard Perry
Mr. Perry is a world renowned record producer and seven time Grammy Award nominee, as well
having been twice named Billboard’s “Producer of the Year”. He is known for producing more
hit singles for more artists than anyone in music history. His illustrious 35 year career has
resulted in the production of 15 platinum and 28 gold albums. The extensive list of artists
he has produced include Barbra Streisand, Rod Steward, Ray Charles, Carley Simon, The Pointer
Sisters, Tina Turner, Willie Nelson, Ringo Starr, Diana Ross, The Temptations, Neil Diamond,
Fats Domino, Ella Fitzgerald and many others.
Diane Warren
Ms. Warren is considered to be the most prolific and successful contemporary songwriter of our
time. Her songs have been nominated for four Golden Globes, six Academy Awards and nine Grammy
Awards, including one win. Ms. Warren has the honor of being named Billboard’s “Songwriter of the Year”
four times and being inducted into the Songwriters’ Hall of Fame. Her songs have been written for such iconic
artists as Aerosmith, Elton John, Tina Turner, Barbra Streisand, Aretha Franklin, Eric Clapton, Celine Dion,
Britney Spears, Kelly Clarkson, and many more. In addition to her successful songwriting career, she is developing
new acts on her label, Di-Namic, which is distributed by Atlantic Records.

Larry Ryckman,
President & CEO, MyStudio, Inc.
Mr. Ryckman is the founder, President & CEO of MyStudio, Inc., a wholly-owned subsidiary
of Studio One Media, Inc. He is an award-winning entrepreneur and executive with
notable achievements in the entertainment, high technology and sports industries.
He previously served as President and CEO of American Artists, Inc., a diversified
film, video and music production and distribution company; as owner and President
of the Calgary Stampeder Football Club of the CFL; and was co-founder, President
and CEO of QSound, Ltd. which develops proprietary sound technologies for the entertainment
industry. During Mr. Ryckman's tenure, QSound grew from a start-up to a NASDAQ-listed,
internationally recognized entertainment technology company with leading music artists
such as Madonna, Sting and Michael Jackson utilizing its patented audio technologies.
As QSound's CEO, he completed licensing and joint venture agreements with multi-national
corporations such as Polygram, Nintendo, JVC, Coca Cola, and NEC.

Mr. Pinckard is a member of the State Bar of Arizona with extensive experience in
corporate finance, startup ventures, investments, entertainment, corporate acquisitions,
tax and reorganizations. He previously practiced law at Chamberlain Hrdlicka White
Johnson & Williams of Houston, Texas and also served as a tax specialist at Coopers
& Lybrand in both Houston and Philadelphia. He also served as in-house legal counsel
for Congressman Barry Goldwater and Hormel Foods heir and music composer, Geordie
Hormel. Mr. Pinckard holds a B.B.A., Accounting from the University of Texas at
Austin and a Juris Doctorate from the University of Houston.

Prior to joining Studio One, Mr. Jacobs was a Managing Director at JDB Capital Partners,
an Arizona merchant bank. He was formerly Sr. Vice President – Finance for the Arizona
Cardinals Football Club and Portfolio CFO at Texas Pacific Group in San Francisco.
He has also served as a Senior Manager in the Mergers & Acquisitions Services Practice
of KPMG LLC, as well as a Manager in their Audit Department. He is a Certified Public
Accountant. Mr. Jacobs received a Bachelor of Science in Business Administration

Shelly Yakus, Vice President - Audio Engineering

Mr. Yakus is a renowned music producer, audio engineer/mixer, and recording studio
designer and is considered one of the best engineers and mixers in the music industry.
He has engineered and mixed recordings for some of the world's best known artists
including John Lennon, Stevie Nicks, Alice Cooper, Van Morrison, Tom Petty, Dire
Straits, Blue Oyster Cult, Bob Seger, Amy Grant, Don Henley, U2 and Madonna. Known
as "Golden Ears," he is also widely respected for his expertise in recording studio
design and acoustics. Mr. Yakus co-designed, equipped, and supervised construction
of the industry leading A&M Records music recording studios in Los Angeles and served
as vice-president of A&M Studios from 1985-1995. He was previously Vice President
of the Record Plant recording studios in New York and a partner at Tongue and Groove
Studios in Philadelphia. The music that Mr. Yakus has engineered, produced, or mixed
has grossed over a billion dollars in sales, and in 1999 he was nominated for induction
into the Rock and Roll Hall of Fame. Mr. Yakus' career and accomplishments are widely
covered in publications such as Rolling Stone, Mix Magazine, Audio Engineer, and
Spin.

Mr. Quist is a top producing sales and marketing professional with over six years experience in the venue,
event and entertainment industry. He most recently served as Director of Sales and Corporate Partnerships
for Westgate Sports and Entertainment Group in the Phoenix area. He was responsible for all corporate sales
and marketing activities and developed multi-million dollar corporate partnerships during his tenure. He
has also served as Vice President of Sales & Marketing for General Sports Shows, Inc. and Group Director for
Cygnus Business Media. He played an integral role in building those organizations’ portfolios through new
market launches, event acquisitions and event revenues and was recognized for his accomplishments

Barry M.
Goldwater, Jr., Chairman of the Board
Mr. Goldwater served as a U.S. Congressman for 14 years, representing a district
in northern Los Angeles County. Prior to that he was a stockbroker and partner in
the Los Angeles securities firm of Noble Cook, Inc. (now Wedbush Securities) where
he developed an institutional customer base and traded securities on all stock exchanges.
While in Congress, he served on a number of committees, including the Committee
on Science and Technology and the Joint Committee on Energy. He authored the Privacy
Act of 1974. Since retiring from Congress in 1984, Mr. Goldwater has been actively
involved in private business activities and has held a number of responsible positions
involving finance and management. He is presently on the Boards of two companies
in addition to Studio One Media, Inc.. Mr. Goldwater holds a degree in Marketing
from Arizona State University.
Preston J. Shea
Mr. Shea was the sole officer and director of the Company from September 2003 to
March 2006. He is licensed as an attorney in the State of Arizona and as a Barrister
and Solicitor by the Law Society of Upper Canada in Ontario. From 1999 to present,
he has been the vice president and general counsel for an international business
organization with offices in Canada and the United States and representative offices
in Russian, China, Austria and Mexico. From 1990 to 1999, he practiced international
immigration law and business law in Ontario, Canada, Detroit, Michigan and Phoenix,
Arizona, with an emphasis on the North American Free Trade Agreement. Prior to that,
from 1986 to 1990, he was employed by the government of Canada in various positions
including Chief of Staff for the Federal Minister of the Environment, Special Assistant
to the Federal Minister of International Trade, and as a Senior Investment Advisor
in the Los Angeles offices of the Canadian Consulate. Prior to his tenure with the
Canadian government, he was actively engaged in various legal and business positions
in the private sector.
